Campbells acted as Cayman Islands legal counsel to Youlife International Holdings Inc. (“Youlife”) and Youlife Group Inc. on the de-SPAC business combination with Distoken Acquisition Corporation (Nasdaq: DIST), a Nasdaq-listed special purpose acquisition company (“Distoken”).
The transaction was completed on 9 July 2025. Starting from 10 July 2025, Youlife Group Inc. became a publicly listed company and commenced trading of its American Depositary Shares representing its Class A ordinary shares on Nasdaq under the ticker symbols “YOUL”.
Youlife is a leading blue-collar lifetime service platform in China. Operating under the brand name Youlan (优蓝). Youlife is a platform company that integrates vocational education services, recruitment services, employee management services, and market services for blue-collar talent and businesses in China. According to China Insights Industry Consultancy Limited, an independent professional market research and consulting company, Youlife ranked first among blue-collar lifetime service platforms in China in terms of revenue generated from blue-collar lifetime services in 2021.
